By accessing or using Playchange.io (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Playchange LLC ("Playchange," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Platform under applicable laws
  • Provide accurate and complete registration information

By using the Platform, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

3.1 Account Creation

You may need to create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password
  • Not share your account credentials with others
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities conducted through your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion.

4. NFT Marketplace & Digital Assets

4.1 NFT Purchases

The Platform allows you to purchase non-fungible tokens (NFTs) and other digital assets. When you purchase an NFT:

  • You receive ownership of the specific NFT token on the blockchain
  • Ownership is recorded on the blockchain and cannot be altered by Playchange
  • All sales are final unless otherwise required by law
  • NFT availability and pricing are subject to change without notice

4.2 Payment Terms

All payments are processed securely through Stripe. By making a purchase, you agree to:

  • Provide valid payment information
  • Pay all applicable fees and taxes
  • Authorize Playchange to charge your payment method
  • Accept that all payments are non-refundable unless required by law

4.3 NFT Ownership & Rights

When you purchase an NFT, you own the token itself, but:

  • Playchange or the original creator retains all intellectual property rights to the underlying content
  • You receive a limited license to use, display, and sell the NFT for personal, non-commercial purposes
  • You may not use the NFT for commercial purposes without express permission
  • You may not reproduce, modify, or create derivative works of the NFT content

4.4 Blockchain & Wallet Integration

NFT transactions are recorded on blockchain networks. You acknowledge that:

  • Blockchain transactions are irreversible
  • Playchange has no control over blockchain networks
  • You are responsible for maintaining your wallet security
  • Lost wallet credentials cannot be recovered by Playchange
  • Gas fees and network congestion may affect transactions

4.5 Royalties & Secondary Sales

Certain NFTs may include royalty provisions for secondary sales. When applicable, a percentage of resale proceeds will be distributed to the original creator or rights holder as specified in the NFT smart contract.

5. Affiliate Program

Playchange offers an affiliate program for eligible users. By participating, you agree to:

  • Comply with all affiliate program terms and guidelines
  • Use affiliate links only for legitimate promotional purposes
  • Not engage in fraudulent or deceptive practices
  • Understand that affiliate earnings are subject to verification and approval
  • Accept that Playchange may modify or terminate the affiliate program at any time

6. Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Engage in fraudulent, deceptive, or manipulative activities
  • Attempt to hack, disrupt, or compromise the Platform's security
  • Use bots, scripts, or automated tools without authorization
  • Manipulate prices or engage in wash trading
  • Impersonate others or misrepresent your identity or affiliation
  • Upload malicious code, viruses, or harmful content
  • Harass, abuse, or harm other users
  • Engage in money laundering or other financial crimes

7. Intellectual Property Rights

7.1 Platform Content

All content on the Platform, including text, graphics, logos, images, videos, and software, is the property of Playchange LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 Trademarks

"Playchange," the Playchange logo, and other marks are trademarks of Playchange LLC. You may not use these trademarks without our prior written consent.

7.3 User-Generated Content

If you submit content to the Platform, you grant Playchange a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating the Platform.

8. Third-Party Services

The Platform integrates with third-party services including payment processors (Stripe), blockchain networks, and wallet providers. Your use of these services is subject to their respective terms and conditions. Playchange is not responsible for the performance, security, or availability of third-party services.

9. Disclaimers

9.1 No Investment Advice

Nothing on the Platform constitutes investment, financial, legal, or tax advice. NFTs are speculative digital assets, and their value may fluctuate. You should consult with appropriate professionals before making any purchase decisions.

9.2 Platform Availability

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee uninterrupted, secure, or error-free operation of the Platform.

9.3 NFT Value

Playchange makes no representations or warranties regarding the value, utility, or future price of any NFT. NFT values may decrease or become worthless.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Playchange shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid to Playchange in the six months preceding the claim
  • We are not liable for losses resulting from blockchain network issues, wallet security breaches, or third-party service failures
  • We are not liable for loss of profits, data, goodwill, or other intangible losses

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Playchange LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the Platform
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state where Playchange LLC is incorporated, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration, except that either party may seek injunctive relief in court to protect intellectual property rights.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis only and waive the right to participate in class actions or class arbitrations.

13. Modifications to the Platform

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

14. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Playchange regarding your use of the Platform and supersede any prior agreements.
